1. ACCEPTANCE OF TERMS
By accessing or using the TechSphereX platform ("Platform"), services, or website operated by Zultan Technologies Inc. ("Company," "we," "us," or "our"), you ("Client," "Specialist," "User," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our services.

2. DESCRIPTION OF SERVICES

2.1 Platform Overview
TechSphereX is a comprehensive Specialist Workforce Operating System that connects small and medium businesses with qualified specialists across administrative, marketing, customer service, and technical disciplines. We operate under a dual revenue model combining subscription fees and service fees.

2.2 Subscription Tiers
Our services are offered through three subscription tiers:

Essential ($99 CAD/month): Up to 2 active specialists, basic matching, email support

Advanced ($199 CAD/month): Up to 6 active specialists, AI-powered matching, priority support, advanced analytics

Unlimited ($399 CAD/month): Unlimited specialists, premium features, dedicated account manager, custom analytics

2.3 Service Fees
In addition to subscription fees, we charge service fees on specialist engagements as outlined in your subscription agreement.

3. USER ACCOUNTS AND ACCESS
​
3.1 Account Creation
User accounts are created exclusively by our administrative team. Credentials are provided via email, and users must change their default password upon first login.

3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 User Categories

Admin Users: Platform administrators and project managers

Client Users: Business representatives seeking specialist services

Specialist Users: Independent contractors providing services

4. SUBSCRIPTION TERMS

4.1 Billing and Payment

Subscriptions are billed monthly in advance

All fees are in Canadian dollars (CAD)

Payment is due within 30 days of invoice date

Service interruption may occur for overdue accounts

4.2 Subscription Changes

Upgrades take effect immediately with prorated billing

Downgrades take effect at the next billing cycle

Subscription changes must be requested through your account manager or admin portal
​
4.3 Cancellation

Subscriptions may be cancelled with 30 days written notice

No refunds for partial months

Access to premium features ceases upon cancellation

5. SPECIALIST SERVICES
​
5.1 Specialist Matching
We use proprietary algorithms and human oversight to match specialists with client projects. Matching sophistication varies by subscription tier.
​
5.2 Service Quality
While we vet specialists and monitor performance, we do not guarantee specific outcomes. Specialist performance is tracked and reported through our analytics system.

5.3 Specialist Relationships
Specialists are independent contractors, not employees of Zultan Technologies or client companies.
​
6. INTELLECTUAL PROPERTY
​
6.1 Platform IP
The TechSphereX platform, including all software, algorithms, designs, and content, is the exclusive property of Zultan Technologies Inc.
​
6.2 User Content
Users retain ownership of content they upload but grant us a license to use such content for platform operations and service delivery.
​
6.3 Work Product
Intellectual property created by specialists during engagements belongs to the client, subject to any separate agreements between the parties.
​
7. PRIVACY AND DATA PROTECTION
​
7.1 Data Collection
We collect personal and business information necessary to provide our services, as detailed in our Privacy Policy.
​
7.2 Data Use
User data is used solely for service delivery, platform improvement, and legal compliance.
​
7.3 Data Security
We implement industry-standard security measures to protect user data, with enhanced protection for higher subscription tiers.

8. LIMITATIONS OF LIABILITY

8.1 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service availability.
​
8.2 Specialist Performance
We are not liable for specialist work quality, delivery delays, or project outcomes beyond our direct control.
​
8.3 Limitation of Damages
Our total liability is limited to the fees paid by you in the 12 months preceding any claim, excluding indirect or consequential damages.
​
9. INDEMNIFICATION
Users agree to indemnify and hold harmless Zultan Technologies from any claims, damages, or expenses arising from their use of the platform or violation of these Terms.
​
10. TERMINATION
We may terminate accounts for violations of these Terms, non-payment, or abuse of the platform. Users may terminate their accounts with proper notice as outlined in Section 4.3.

11. GOVERNING LAW
These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ottawa, Ontario.
​
12. MODIFICATIONS
We may update these Terms periodically. Users will be notified of material changes, and continued use constitutes acceptance of updated Terms.
